01 · Corporate and Deal

What you are buying,
and from whom.

An asset purchase. The selling entity is #Open App, LLC, a Delaware limited liability company—the surviving entity after the Connecticut company was merged into it in February 2024. Both filed certificates are in folder 01, with the formation documents, EIN letter, and Connecticut articles.

The Connecticut name remains on some accounts and contracts as administrative lag, not as a second company. Folder 01 identifies each instance and transfer requirement.

02 · Product and Code

The build, and the map
of the build.

Backend and mobile source sit beside roughly forty pages of API documentation covering accounts, profiles, clubs, chat, activities, and administration. Architecture, data flows, and the separation map preserve the reasoning.

Production credentials are not distributed with the code. They are rotated and handed over at close.

Seven services are marked cancellation unverified. We believe they were cancelled; written confirmation could not be produced, so the sheet does not call them stopped.

Two open items are named: the trademark position in folder 05, and whether 2019 intellectual-property assignments were executed. Those assignments have never been produced and are not represented as existing.
